1. Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of the VLabNet website and related services (the “Service”). By accessing or using VLabNet, you agree to these Terms. If you do not agree, do not use the Service.

2. About VLabNet

VLabNet is an online directory that helps visitors discover laboratory testing services, trainings, equipment, and contact information published by participating agencies and laboratories. VLabNet facilitates discovery and inquiry; it does not itself perform laboratory testing, certify results, or enter into service contracts on behalf of laboratories unless expressly stated otherwise.

3. Eligibility and accounts

Public browsing does not require an account. Administrative and laboratory-manager features are limited to authorized users with valid credentials. You are responsible for safeguarding your login information and for activity under your account. Notify us promptly if you suspect unauthorized access.

4. Directory content and accuracy

Laboratory profiles, service listings, trainings, equipment information, pricing (if shown), and focal person contacts are provided by participating laboratories and agencies. While we strive to keep the platform reliable, we do not guarantee that all listings are complete, current, or error-free.

Visitors should verify critical details directly with the laboratory before relying on them for commercial, regulatory, academic, or other decisions. Laboratories are responsible for the accuracy and appropriateness of information they publish, including public contact details.

5. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, fraudulent, or abusive purposes
• Scrape, harvest, or bulk-export contact details or other content in a way that disrupts the Service or enables spam
• Attempt to gain unauthorized access to accounts, systems, or non-public data
• Interfere with security, rate limits, or analytics mechanisms
• Misrepresent your identity or affiliation when contacting laboratories found through VLabNet
• Upload malware or otherwise compromise the integrity of the platform

We may suspend or restrict access when we reasonably believe these Terms have been violated.

6. Contacting laboratories

Contact details published on VLabNet are provided so visitors can inquire about laboratory services. You agree to use those contacts only for legitimate, relevant inquiries and to respect applicable anti-spam and privacy laws. Communications between visitors and laboratories are outside VLabNet’s control once initiated off-platform.

7. Intellectual property

The VLabNet name, branding, software, and site design are owned by or licensed to the operators of VLabNet. Laboratory logos, descriptions, and related materials remain the property of their respective owners. You may not copy, redistribute, or commercially exploit platform materials except as permitted by law or with prior written permission.

8. Third-party sites and services

The Service may link to external websites or communication tools (for example email or phone applications). We are not responsible for the content, privacy practices, or availability of third-party services.

9. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Laboratory services themselves are offered by the respective laboratories under their own terms.

10. Limitation of liability

To the fullest extent permitted by law, VLabNet and its operators shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business opportunities arising from your use of the Service or reliance on directory content. Our total liability for claims relating to the Service shall not exceed the amount you paid us (if any) to use the Service in the twelve (12) months preceding the claim, or one thousand Philippine pesos (PHP 1,000), whichever is greater.

11. Indemnity

You agree to defend and hold harmless VLabNet and its operators from claims arising out of your misuse of the Service, your violation of these Terms, or your infringement of another party’s rights, to the extent permitted by applicable law.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of your understanding of how the Service works.

13. Changes to the Service and Terms

We may modify the Service or these Terms from time to time. Updated Terms will show a revised effective date. Continued use after changes are posted means you accept the updated Terms, except where additional consent is required by law.

14. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Courts located in the Philippines shall have exclusive jurisdiction over disputes arising from these Terms or the Service, subject to any mandatory protections afforded to consumers under applicable law.
